Terms of service

These terms govern use of VineFile, operated by VineFile LLC, a Florida limited liability company, at 18459 Pines Blvd., #248, Pembroke Pines, FL 33029 ("VineFile," "we," "us"). Using the platform means you accept them.

1. Membership

Membership is billed monthly, annually or biennially at the rates shown on the pricing page. New accounts get a three-day trial and are not charged until it ends. You can cancel at any time; cancellation stops the next renewal and does not refund the current period.

Your data stays exportable while your account is open. After cancellation we retain it for 30 days so you can retrieve it, then delete it — except records we're required to keep longer, such as the consent and compliance records described in our Privacy Notice, or billing records we keep for tax and accounting purposes.

2. What VineFile is — and isn't

VineFile is a software platform for organizing client records and connecting members with referral partners. VineFile is not a law firm, insurance agency, mortgage lender or broker, real estate brokerage, financial advisor, healthcare provider, or consumer reporting agency, and does not hold licenses, certifications, or professional designations in any regulated field. Nothing on the platform is legal, financial, insurance, tax, medical, or investment advice.

Every member is solely responsible for holding whatever license, registration, or certification their own profession and jurisdiction require, for the accuracy of what they enter, and for complying with the laws that apply to their own business. See "Your compliance obligations" below.

3. Eligible categories for Lead Exchange & Book Marketplace

Any professional, in any business category, can create a VineFile account and use the core CRM — client records, pipeline, task reminders, referral notes — for their own book of business.

Participation in the Lead Exchange (posting, claiming, or buying/selling leads for credits) and the Book Marketplace (listing or purchasing a book of business) is limited to categories we've designated eligible. A category becomes eligible only once we've confirmed that operating it doesn't require VineFile itself to hold an additional license, registration, or certification (for example, as a consumer reporting agency or licensed insurance producer beyond what our data-broker registrations already cover), and that it doesn't put members in the position of receiving referral compensation their own license doesn't permit.

As of this posting, Lead Exchange and Book Marketplace are available for: Mortgage & Lending, Insurance, Real Estate, and Banking & Financial Services. They are not currently available for Legal Services, Healthcare, or any category not listed as eligible — members in those categories keep full use of the core CRM, just not these monetization features, until we clear the category with counsel. The current, controlling list is maintained at vinefile.com/eligible-categories.

Even within an eligible category, some data types are excluded from monetization — see the next section.

4. Credit report data (FCRA)

Where a member's client records include data drawn from a credit report or credit-monitoring service, that data remains available to the member for their own CRM use, but it is never included in a Lead Exchange listing, used to generate or price a lead signal, or included in any aggregated or benchmarking data product — regardless of business category, including categories on the eligible list above. This restriction stays in place until we've confirmed with counsel that a specific use complies with the Fair Credit Reporting Act, at which point we'll update this section and the eligible-categories page.

5. Lead credits

Credits are prepaid and are spent when you claim a lead. They are a unit of account within VineFile, not money, not a deposit, and not redeemable except as described here. Credits earned by supplying leads can be redeemed for cash at the published provider rate or kept as credits with a bonus.

Credits do not expire while your account is in good standing. We may refund credits where a lead is demonstrably bad — wrong number, wrong vertical, or a duplicate.

6. Your compliance obligations

You are responsible for the lawfulness of everything you put into VineFile. In particular, by posting a lead you represent that:

  • You obtained the consumer's consent to be contacted by a partner or third party, on the channels you recorded, and you can produce the evidence.
  • You hold every licence and registration your jurisdiction requires for that line of business.
  • You are not posting anyone who has asked not to be contacted, and you will honour opt-outs immediately.
  • The information you supply is accurate and you are entitled to share it.

By claiming a lead you represent that you hold a current licence in the relevant region and vertical, that any referral fee or credit you receive complies with your profession's referral-fee and anti-rebating rules, and that you will contact the consumer only through the channels their consent covers.

We may suspend or remove any member who breaches this, and we may reverse credits associated with a breach.

7. Mortgage and real estate

Mortgage and real-estate leads are priced at a flat rate set in advance by VineFile for a marketing and technology service. The price does not vary with loan or sale amount and is not contingent on any transaction closing. Leads in these verticals are non-exclusive. Nothing here is a fee, kickback or thing of value given in exchange for the referral of settlement service business.

If you and the other party to a lead are affiliated, you are responsible for making any Affiliated Business Arrangement disclosure the law requires. VineFile does not make it for you.

8. Book marketplace

Listings are anonymised until an offer is accepted. VineFile facilitates the transfer of records inside the platform and charges a transaction fee on completion at the published rate. We are not a broker, not a party to the sale, and give no assurance about the accuracy of a seller's figures, the retention of transferred clients, or the value of any book. Available only for eligible categories per Section 3.

Both parties are responsible for any consents, notices, or regulatory approvals a change of servicing requires.

9. Who owns your data

You own the client records, documents and other content you upload. Nothing here transfers ownership of them to us. You can export them at any time while your account is open.

You grant VineFile a non-exclusive, worldwide, royalty-free licence to host, process and back up that content so we can run the platform for you, and to use it — in de-identified and aggregated form — for research, benchmarking, valuation models, lead pricing, product analytics and improving our AI features. De-identified means direct identifiers such as name, address, phone number and email are removed and the data is combined with other members' data so it no longer identifies a consumer or your business. Credit-report-derived fields are excluded from this aggregate use per Section 4.

We do not sell or publish your identifiable client records. Insights, benchmarks and models derived from de-identified and aggregated data belong to VineFile, and we may keep using them after your account closes. This licence survives termination only for that de-identified and aggregated material.

If you would rather your data was excluded from research and benchmarking, tell us at support@vinefile.com and we will exclude your workspace. Consumers can exercise their own rights through the privacy choices form.

10. Valuations

Book valuations, lead pricing and AI-generated suggestions are estimates produced by software. They are not appraisals, not financial advice and not a guarantee of any outcome. Do not present them to a third party as an independent valuation.

11. Acceptable use

Do not upload data you have no right to, scrape the platform, resell access, attempt to identify anonymised listings, or use VineFile to contact people who have opted out. Do not use the AI features to generate misleading claims about products you sell.

12. Disclaimer of warranties

VineFile is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the platform will be uninterrupted or error-free, or that any lead, valuation, or AI-generated output is accurate or complete.

13. Liability

To the extent the law allows: neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business, however caused and regardless of the theory of liability. Our total liability to you for any claim arising out of or related to VineFile is limited to the fees you paid us in the twelve months before the claim. Nothing in this section limits liability that cannot lawfully be limited, including for gross negligence, willful misconduct, or violation of law.

14. Indemnification

You indemnify and hold VineFile harmless from claims, damages, and reasonable attorneys' fees arising from: (a) your breach of the compliance obligations in Section 6; (b) your use of the platform outside an eligible category, or in violation of the credit-report restriction in Section 4; or (c) any TCPA, licensing, privacy, or similar claim brought over contact you made or caused using data from the platform.

15. Suspension and termination

We may suspend or terminate any account that breaches these terms, misuses a restricted category or credit-report data, or poses a legal or security risk to VineFile or other members, with or without notice depending on severity. You may cancel at any time as described in Section 1.

16. Dispute resolution — arbitration and class action waiver

You and VineFile agree to resolve any dispute arising out of or relating to these terms or VineFile through individual, binding arbitration administered under AAA rules, rather than in court, except that either party may bring an individual claim in small claims court. There is no right to a jury trial, and no right to participate in a class, collective, or representative action. You may opt out of this section within 30 days of first accepting these terms by emailing support@vinefile.com with your name and account email.

17. Governing law and venue

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to Section 16, any dispute not subject to arbitration goes to the state and federal courts located in Florida, and you consent to personal jurisdiction there.

18. Miscellaneous

This is the entire agreement between you and VineFile on this subject. If any part is unenforceable, the rest still applies. Our failure to enforce a provision isn't a waiver of it. We may assign these terms in connection with a merger, acquisition, or sale of assets; you may not assign without our consent. Neither party is liable for delay caused by events outside its reasonable control. Nothing here creates a partnership, joint venture, agency, or employment relationship between you and VineFile. Sections that by their nature should survive termination (including Sections 4, 9, 12–14, and 16–17) do survive.
